  第一步叫做约定股份的性质,我们能给员工的股权激励呢?分为三种,第一种叫在职分红,人在公司干,这个分红就有人不在公司干呢,这个分红就没有。

  The first step is to agree on the nature of the shares. Can we provide employees with equity incentives? There are three types of dividends, the first one is called on-the-job dividends. If someone works in the company, there will be people who do not work in the company, and there will be no dividends.

  第二种呢,叫期权股,就是你要达到一定的指标,达到一定的工作年限,这个股权才配发给你。

  The second type is called option stock, which means that you need to meet certain indicators and work experience before this equity is issued to you.

  第三种叫注册股,就是在工商局实打实的,写上他的名字,他有分红权,有表决权,有知情权,当然他也要承担公司经营负债的风险。

  The third type is called registered shares, which are confirmed by the Industrial and Commercial Bureau, with his name written on it. He has the right to dividends, voting rights, and the right to be informed, but of course, he also has to bear the risk of the company's operating liabilities.

  那这三个股份哪一种更适合给我们的员工呢?我建议你选择第一种,在职分红股,人在公司干这个分红就有人不在公司干呢,分红就没有,然后逐步的再加上期权股,然后再加上注册

  Which of these three shares is more suitable for our employees? I suggest you choose the first option, on-the-job bonus shares. If someone does this bonus in the company, there will be someone who does not, and there will be no bonus. Then gradually add option shares, and then add registration

  第二步,约定股权激励的期限,第一轮激励呢?我们一般建议是两年的时间,两年之内,如果你各方面表现都比较优秀,那我们再继续续约。

  The second step is to agree on the deadline for equity incentives. What about the first round of incentives? Our general recommendation is two years. Within two years, if you perform well in all aspects, we can continue to renew the contract.

  那我可能还会继续给你配发期权股以及注册股,那如果两年的时间我对你表现不太满意,或者你觉得公司也没有达到你的预期,那我们就不合作了。

  Then I may continue to issue option shares and registration shares to you. If I am not satisfied with your performance within two years, or if you feel that the company has not met your expectations, then we will not cooperate.

  第三步约定入股的股金,那员工做股权激励要不要交钱呢?我建议是一定要交钱的,钱在哪里?新才能在哪里?那如果员工有钱呢,他就一次性交给你了。

  The third step is to agree on the amount of capital to be invested. Should employees pay for equity incentives? My suggestion is that payment must be made. Where is the money? Where is the new talent? If the employee has money, he will give it to you all at once.

  如果员工他没有钱,那我们可以选择借给他。

  If the employee doesn't have money, we can choose to lend it to him.

  或者从他的分红或者工资里面扣除就行了。

  第四步,约定考核的机制,给员工做股权激励是一定要加入考核机制的,因为员工不去做我们想让他做的事,但是一定会去做,我们要求检查和考核的事情。

  The fourth step is to establish an assessment mechanism. When offering equity incentives to employees, it is necessary to include the assessment mechanism, because employees do not do what we want them to do, but they will do what we require to be checked and assessed.

  你希望员工变成什么样?你就在考核机制里设置什么样的关键指标就行,那我们给员工做股权激励,无非就两个目的,第一个希望他在这家公司多干一段时间。

  What do you want your employees to become? Just set some key indicators in the assessment mechanism, and we will provide equity incentives to employees for two purposes. The first is to hope that they can work in this company for a longer period of time.

  第二个呢,希望他能把这家公司呢当自己的公司来干。比方说张三你前一年能做100万业绩,我们给了他10%在职分红股。

  The second one, I hope he can treat this company as his own. For example, if Zhang San achieved a performance of 1 million yuan the previous year, we gave him 10% on-the-job bonus shares.

  到了年底,他业绩只做了50万,你还要白白给他分红,你是不是很生气?那如何避免他躺平呢?很简单的一个策略,那我给了你10%的股权激励了之后,我还是要给你定指标的。张三你以前一年能做100万业绩好2026年,我给你的指标是每年要做到120万。做到120万了,这10%的分红你全部拿走。如果做到100万到120万之间了,那这1010%的分红呢?你只能拿走一半。如果做到100万以下呢?不好意思,那就没有分红了。

A very simple strategy, after I give you a 10% equity incentive, I still need to set targets for you. Zhang San, you were able to achieve a performance of 1 million yuan in the previous year. By 2026, my target for you is to reach 1.2 million yuan per year. You have achieved 1.2 million, and you will take all the 10% dividend. If it reaches between 1 million and 1.2 million, what about the 1010% dividend? You can only take half. What if it falls below 1 million? Sorry, then there will be no dividends.

  你这样去要求检查和考核,还用担心张三不努力吗?

  Do you have to worry about Zhang San not putting in the effort to request inspection and assessment like this?

  第五步,约定退出的机制,退出的机制呢?里面就会分为主动退出和被动退出。

  Step five, agree on the mechanism for withdrawal. What is the mechanism for withdrawal? It will be divided into active exit and passive exit.

  主动退出呢,又分为合作期版推出和合作未满退出。比方说合作两年的时间,两年之内你走了,那这个入股金我是不退的,那两年之后合作起码你走,那这个入股金我一分钱不少,全都退给你。

  Active withdrawal can be divided into two types: release during the cooperation period and withdrawal before the cooperation period is over. For example, if you leave after two years of cooperation, I will not refund the investment. If you leave after two years of cooperation, I will refund you every penny of the investment.

  那被动退出呢?那如果公司经营不善,倒闭了,破产了,那你的入股基金我一分钱不少,全额退给你。

  What about passive withdrawal? If the company is poorly managed and goes bankrupt, I will refund you the full amount of your investment fund.

  那还有一种情况呢,你自己吃拿卡要了,你拿挪用公司公款了。

  There is another situation where you take the card yourself and embezzle company funds.

  或者你做利用公司资源做与公司有相关业务工作了。

  或者你泄露公司核心机密了,那公司会强制让你退出去,那这个押金我们是不退给你的,
