　　第一步就是对这家公司做估值,一家公司值多少钱,通常按照一年的净利润的5~10倍来算,如果公司每年增速很快,那我们可以按照十倍左右来做估值,如果公司的利润稳定,可以按照五倍左右来做估值。

　　The first step is to value the company. The value of a company is usually calculated based on 5-10 times its annual net profit. If the company grows rapidly every year, we can value it at around ten times. If the company's profit is stable, we can value it at around five times.

　　第二步，定金额,新股东并不是说投的钱越多越好,如果投了太多的钱用不上,相当于过早的稀释股份,所以通常情况下,按照接下来半年到一年,我们公司需要的资金来做规划。

　　The second step is to determine the amount. The new shareholder does not mean that the more money invested, the better. If too much money is invested and not needed, it is equivalent to diluting the shares prematurely. Therefore, usually, we plan based on the funds our company needs in the next six months to a year.

　　第三步，定方式,公司引入股东有钱有两种方式,第一种，我们叫做股权转让,什么叫股权转让呢,作为公司的老股东,我要把股份卖给新股东,新股东的钱用来买股份,钱呢进我个人口袋,这个呢就叫做股权转让,另外一种叫做增资扩股,增资扩股就是新股东把钱投到公司里面来,所有的股东呢一起等比例西施,这叫做增资扩股,所以一般来讲，在公司需要资金的时候,我们就用增资扩股,公司如果稳定,我们就用股权转让老股东来做套现。

　　The third step is to determine the method. There are two ways for the company to introduce shareholders to make money. The first is called equity transfer. What is equity transfer? As an old shareholder of the company, I want to sell my shares to a new shareholder, and the new shareholder's money will be used to buy shares. The money will go into my personal pocket, which is called equity transfer. The other is called capital increase and share expansion. Capital increase and share expansion means that the new shareholder invests the money into the company, and all shareholders contribute equally. This is called capital increase and share expansion. Therefore, generally speaking, when the company needs funds, we use capital increase and share expansion. If the company is stable, we use equity transfer to the old shareholder to cash out.

　　第六步：签协议文件、增资协议、股东协议、公司章程,签完协议后接通,就是投资股东的打款。
