  设计院的持股员工范围一般应包括公司董事、中高层管理人员、核心技术人员及业务骨干和其他公司董事会认为对公司发展有重要作用的人员。一般来说公司董事、中高层管理人员和骨干员工的持股比例按4:3:3的结构设置,既可以有效激励员工,又可以保障公司股权结构的稳定性。

  设计院的员工持股方式主要有自然人持股和有限合伙企业持股两种方式。自然人持股是指员工股东直接持有设计院的股份,股权结构简单明了,一般适用于股东较少的设计院。有限合伙企业持股是指持股员工出资设立有限合伙企业,通过持有有限合伙企业合伙份额的方式间接持有企业股权。持股平台不从事除持股以外的任何经营活动。一般适用于股东员工超过50人的设计院。

  The employee shareholding methods of the design institute mainly include natural person shareholding and limited partnership enterprise shareholding. Natural person shareholding refers to employee shareholders directly holding shares in a design institute, with a simple and clear equity structure, generally applicable to design institutes with fewer shareholders.   当员工岗位出现升职时,坚持“以岗定股”的原则,在有多余股份的情况下,按照新岗位对应股份配股,股权转让价格根据上一年度公司净资产价值确定。如果暂时没有多余的可供分配的股份,则当变化幅度达到一定程度后,再统一重新分配股份进行调整。当员工持股额度有富余时,应考虑吸收新对象加入持股员工范围。
